Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Neuron Software Inc. (“Neuron,” “we,” “us,” or “our”), an Ontario corporation.

These Terms govern your use of neuron.ink and the Neuron mobile application, including Neuron’s journaling, artificial-intelligence, subscription, and related features (collectively, the “Service”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

Neuron is operated by Neuron Software Inc., a corporation formed under the laws of Ontario, Canada.

2. Eligibility

You must be at least 16 years old to use Neuron.

By creating an account or using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Your account

Some or all Neuron functionality requires an account.

Neuron may offer authentication through Sign in with Apple, Google, email-based authentication, or other authentication methods.

You are responsible for maintaining the confidentiality of your credentials and for activity occurring through your account.

You agree not to give another person access to your personal Neuron account or attempt to access someone else’s account.

If you believe your account has been compromised, contact hello@neuron.ink.

4. What Neuron does

Neuron is a journaling, reflection, and personal-insight product.

You can use Neuron to record thoughts, reflect on your experiences, receive AI-generated insights and prompts, organize information you have written, and use other features made available through the Service.

Neuron may use information you previously entered to generate contextually relevant results.

5. Neuron is not professional advice

Neuron is not a doctor, therapist, psychologist, lawyer, financial adviser, or other licensed professional.

Information or AI-generated content provided by Neuron is for journaling, reflection, and informational purposes and is not medical, mental-health, psychological, legal, financial, or other professional advice.

Do not rely on Neuron as a substitute for professional diagnosis, treatment, advice, or emergency assistance.

If you believe you are experiencing an emergency or immediate danger, contact the appropriate emergency or crisis service where you live.

6. Artificial-intelligence features

Some Neuron features use artificial-intelligence models operated by third parties, currently including Google and OpenAI.

When you use those features, content you have written, relevant contextual information, prompts created by Neuron, and associated information may be sent to those providers so they can process the request.

Neuron also uses LangSmith, operated by LangChain, Inc., for AI tracing, observability, testing, and debugging. AI traces may contain inputs and outputs associated with your use of AI features.

Our Privacy Policy explains these data flows in more detail.

AI systems are probabilistic. Their outputs may be inaccurate, incomplete, misleading, biased, inappropriate, repetitive, or fabricated.

You are responsible for deciding whether and how to rely on an AI-generated result. You should independently verify information before relying on it for an important decision.

Similar or identical AI outputs may be generated for different users, and we do not guarantee that any generated output is unique.

7. Voice dictation

Neuron may allow you to dictate text using your device’s microphone and speech-recognition features.

Speech-recognition functionality depends in part on technologies provided by your operating-system provider, such as Apple.

You are responsible for reviewing a transcript before relying on it. Speech recognition may misunderstand, omit, or incorrectly transcribe what you say.

8. Acceptable use

You may not use Neuron to:

• violate applicable law;
• interfere with the security or normal operation of the Service;
• obtain unauthorized access to another person’s account or data;
• distribute malware or malicious code;
• submit automated traffic that materially burdens the Service;
• impersonate another person or organization;
• infringe another person’s rights; or
• use Neuron in a manner intended to harm the Service or other users.

You may not reverse engineer or decompile the Service except to the extent applicable law expressly permits you to do so notwithstanding this restriction.

You may not use Neuron or its outputs to systematically create a competing dataset, model-training corpus, or substantially competing service in violation of our intellectual-property or contractual rights.

We may use reasonable technical measures to prevent abuse.

9. Your content

“Your Content” means journal entries, thoughts, answers, goals, values, prompts, and other material that you submit to Neuron.

As between you and Neuron, you retain your ownership rights in Your Content. Neuron does not claim ownership of what you write.

You grant Neuron a worldwide, non-exclusive, royalty-free license to host, copy, store, transmit, transform, analyze, and otherwise process Your Content to the extent reasonably necessary to operate, secure, maintain, and provide the Service.

This includes permission to transmit and process Your Content through the hosting, database, AI, observability, and other service providers identified in our Privacy Policy.

This license is not permission for Neuron to sell your journal entries or use them to train Neuron’s own general-purpose AI models.

When you delete Your Content or your account, Neuron stops using active copies of Your Content to provide the Service to you, except where copies remain temporarily or separately in backups, analytics, diagnostic systems, AI traces, provider retention systems, security records, or records we are legally permitted or required to retain.

Those residual copies are handled according to our Privacy Policy.

10. AI-generated content

To the extent permitted by applicable law and the terms of the relevant AI provider, Neuron does not claim exclusive ownership over AI-generated reflections or outputs generated specifically for your account.

AI-generated material may not qualify for intellectual-property protection in every jurisdiction, and other users may receive similar material.

You are responsible for ensuring that your use of an AI-generated output is lawful and appropriate.

11. Subscriptions

Some Neuron features require a paid subscription.

Prices, subscription periods, introductory offers, trials, promotional offers, and other applicable terms are displayed before purchase.

Neuron may offer different promotions or eligibility-based offers to different users where permitted by Apple and applicable law.

Purchases made through the Neuron iOS app are processed by Apple through the App Store and are also subject to Apple’s applicable terms.

We use RevenueCat to verify purchases and manage subscription entitlements.

12. Automatic renewal and cancellation

Unless otherwise stated at purchase, subscriptions automatically renew for the applicable subscription period until cancelled.

Apple charges your App Store payment method in accordance with Apple’s subscription terms.

You can manage or cancel an iOS subscription through your Apple account’s subscription settings.

Deleting your Neuron account does not necessarily cancel an App Store subscription. If you no longer want to be billed, you must separately cancel the subscription through Apple.

Cancellation generally prevents future renewal. It does not ordinarily remove access you have already paid for before the end of the current subscription period, subject to Apple’s policies.

13. Refunds

Apple is responsible for billing and refunds for subscriptions purchased through the App Store.

Refund eligibility and processing are governed by Apple’s refund procedures and any consumer-protection rights that apply where you live.

If you experience a problem with Neuron, you may contact us at hello@neuron.ink, but we cannot guarantee that Apple will approve a refund.

14. Price and subscription changes

We may change our subscription plans or prices.

Where Apple or applicable law requires notice, consent, or another action before a change applies, those requirements will apply.

A price change does not override any consumer rights that cannot legally be waived.

15. Promotional offers

Neuron may provide promotional subscription prices, offer codes, free periods, discounts, or other promotions.

Promotions may be limited to eligible users, particular territories, particular subscription products, specified redemption periods, or other conditions disclosed with the offer.

Unless stated otherwise, promotional subscriptions may automatically convert to the applicable paid subscription and renew under the terms disclosed when the promotion is redeemed.

16. Account deletion and termination

You may stop using Neuron at any time.

Where account deletion is available in the app, you may use it to request deletion of your Neuron account. You may also contact hello@neuron.ink.

Account deletion is subject to the retention practices described in our Privacy Policy.

Deleting an account does not automatically remove information independently retained by Apple and may not automatically delete historical data held in every analytics, diagnostic, observability, backup, or third-party system.

We may suspend or terminate access if you materially violate these Terms, create security or legal risk, abuse the Service, fail to pay amounts properly due, or if suspension or termination is required by law.

Where reasonable and appropriate, we will provide notice.

17. Changes to or discontinuation of the Service

Neuron is an evolving product.

We may add, modify, remove, or discontinue features.

We do not guarantee that a particular AI model, integration, feature, or provider will remain available indefinitely.

If we discontinue a paid Service in a way that materially affects an active subscription, we will comply with applicable law and App Store requirements.

18. Intellectual property

Except for Your Content and third-party material, Neuron and its software, branding, designs, text, interfaces, trademarks, and other materials are owned by Neuron Software Inc. or its licensors and are protected by applicable intellectual-property laws.

These Terms give you a limited, personal, non-exclusive, non-transferable right to use the Service for its intended purpose while these Terms remain in effect.

They do not transfer ownership of Neuron’s intellectual property to you.

19. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.”

We do not guarantee that the Service will always be uninterrupted, error-free, secure, or available.

We do not guarantee the accuracy, completeness, safety, usefulness, or fitness for a particular purpose of AI-generated content.

Nothing in these Terms excludes warranties or consumer rights that applicable law does not permit us to exclude.

20. Limitation of liability

To the maximum extent permitted by applicable law, Neuron Software Inc. and its directors, officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages or for loss of profits, revenue, goodwill, or data arising from or related to your use of the Service.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of CAD $100 or the amount you paid for Neuron during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

21. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Neuron harmless from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful misuse of the Service, your infringement of another person’s rights through Your Content, or a material breach of these Terms.

This section does not apply to the extent applicable consumer law prevents it.

22. Privacy

Our Privacy Policy explains how we collect, process, share, retain, and delete personal information.

The Privacy Policy forms an important part of your relationship with Neuron but does not reduce any privacy rights provided by applicable law.

23. Changes to these Terms

We may update these Terms as Neuron changes.

If a change materially affects your rights or obligations, we will provide notice where required by law, such as through the Service or by email.

If applicable law requires your affirmative agreement to a change, the change will not bind you until that requirement has been satisfied.

Otherwise, continuing to use the Service after revised Terms take effect means you agree to the revised Terms.

24. Governing law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Subject to mandatory consumer-protection rights that apply where you live, disputes relating to these Terms or the Service will be brought in the courts of Ontario.

Nothing in this section takes away a right to bring a claim in another jurisdiction where applicable law gives you that right.

25. Miscellaneous

If a provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not assign these Terms without our consent. We may assign them in connection with a corporate reorganization, financing, merger, acquisition, or sale of all or substantially all of the relevant business or assets, subject to applicable law.

These Terms, the Privacy Policy, and the pricing or promotional terms presented when you purchase a subscription constitute the agreement between you and Neuron concerning the Service.
