Terms of Service
These Terms of Service (the “Terms”) are a legal agreement between you and Neuron Software Inc. (“Neuron,” “we,” “us,” or “our”), an Ontario corporation. They govern your use of the Neuron marketing website at neuron.ink (including the waitlist signup) and the Neuron iOS app once it’s released (collectively, the “Service”). By joining the waitlist, creating an account, or otherwise using the Service, you agree to these Terms. If you don’t agree, please don’t use the Service.
We’ve tried to write these in plain language. Where a term is defined by law (for example, under Ontario or Canadian federal legislation), the legal meaning controls. The Neuron iOS app is in development and is not yet publicly available; until it’s released, the Service consists of the marketing website and the waitlist.
1. Who we are
Neuron is operated by Neuron Software Inc., a corporation formed under the laws of the Province of Ontario, Canada. You can reach us at hello@neuron.ink.
2. Eligibility
You must be at least 16 years old to use Neuron. By using the Service, you represent that you meet this age requirement and that you have the legal capacity to enter into these Terms in the country where you live. If you’re under 16, please don’t use Neuron.
3. Waitlist
If you join the Neuron waitlist, you’re giving us your email address (and any optional information you choose to provide) so we can confirm your spot and let you know when the app is ready. If you check the marketing-email box, we’ll also send you occasional product updates. You can withdraw consent and unsubscribe at any time using the link in any email or by writing to hello@neuron.ink.
4. Your account
To use most of the iOS app once it’s released you’ll need an account. You can create one with an email and password, or sign in with Apple or Google. You agree to:
- provide accurate information and keep it current,
- keep your credentials confidential and not share your account with anyone else,
- notify us promptly at hello@neuron.ink if you suspect unauthorized access, and
- be responsible for activity that happens on your account.
Accounts are for individual humans. One account per person.
5. What Neuron does — and what it doesn’t
Neuron is a journaling and reflection tool. You can write entries, capture thoughts, and receive AI-generated reflections, summaries, and prompts based on what you write.
Neuron is not a substitute for professional advice.
Nothing in the Service is medical, mental-health, psychological, legal, financial, or other professional advice. The AI features are not a therapist, a doctor, or a lawyer. If you are in crisis or need urgent help, contact your local emergency services or a crisis line in your country.
6. AI features
Many features of the Service are powered by large language models operated by third parties, including OpenAI, Anthropic, and Google. When you use those features, the content you write (and the prompts we construct from it) is sent to those providers so they can generate a response. See our Privacy Policy for details on how this works and which providers we use.
AI outputs can be inaccurate, incomplete, biased, or made up. They should not be relied upon for any decision that matters. You are responsible for how you use anything the AI generates.
7. Acceptable use
You agree not to:
- use the Service for anything illegal, harmful, or abusive;
- upload content that infringes someone else’s rights or that you don’t have permission to share;
- try to access other users’ data, accounts, or content, including via the AI features;
- probe, scan, or test the Service for vulnerabilities except through a coordinated disclosure process with us;
- reverse engineer, decompile, scrape, or otherwise extract source code or training data from the Service;
- use the Service to build a competing product, train a competing model, or generate datasets for resale;
- interfere with the Service’s normal operation, including by submitting automated traffic, spam, or malicious content; or
- impersonate anyone, or misrepresent your affiliation with a person or organization.
8. Your content
You own the entries, reflections, and other content you create in Neuron (your “Content”). We don’t claim ownership of it.
You grant Neuron a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process your Content, and to send it to the AI sub-processors listed in our Privacy Policy, solely to operate and provide the Service to you. This license ends when you delete the Content or your account, except for backups in the ordinary course (which are deleted on the schedule described in the Privacy Policy) and any copies we’re required to keep by law.
We do not sell your Content, and we do not use your Content to train our own or any third party’s AI models.
9. Subscriptions, billing, and refunds
Some features of the iOS app will require a paid subscription. Pricing and plan details are shown at the point of purchase.
Where you pay
Subscriptions to the Neuron iOS app are sold and billed by Apple through the App Store and are subject to Apple’s terms. We use RevenueCat to validate your subscription receipt and manage subscription status across devices, but the seller of record is Apple.
Auto-renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel an iOS subscription at any time in your Apple ID subscription settings.
Refunds
Because Apple is the seller of record, refunds for App Store subscriptions are handled by Apple under Apple’s refund policy, which you can use directly through reportaproblem.apple.com. If you run into a problem and can’t get it resolved through Apple, write to us at hello@neuron.ink within 14 days of the charge and we’ll do our best to help, including by extending goodwill credit where we’re able. Where the law in your country gives you a stronger refund or cooling-off right, that stronger right applies.
Price changes
We may change subscription prices from time to time. Price changes won’t take effect for you until the start of your next billing period, and we’ll give you reasonable advance notice so you can cancel before the new price applies.
10. Termination
You can stop using Neuron and delete your account at any time from within the app, or by emailing hello@neuron.ink. Deletion removes your Content from active systems on the schedule described in the Privacy Policy.
We may suspend or terminate your account if you violate these Terms, if we’re required to by law, or if continued operation poses a material security or legal risk. Where it’s reasonable to do so, we’ll give you notice and a chance to fix the issue first.
11. Disclaimers
Except for any warranty that cannot be excluded by the laws of your country, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied. We don’t warrant that the Service will be uninterrupted, error-free, secure, or that AI outputs will be accurate, complete, or fit for any particular purpose.
12. Limitation of liability
To the maximum extent permitted by law, Neuron and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.
Our total aggregate liability to you for any claim arising out of or related to the Service or these Terms is limited to the greater of (a) CAD $100, or (b) the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim.
Some jurisdictions don’t allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law (for example, for fraud or for death or personal injury caused by negligence).
13. Indemnification
You agree to indemnify and hold Neuron harmless from any claim, damage, loss, or expense (including reasonable legal fees) arising from your misuse of the Service, your Content, or your breach of these Terms. We’ll let you know about any claim promptly and cooperate reasonably with your defense.
14. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we’ll give you reasonable notice (in the app or by email) at least 14 days before the change takes effect. Your continued use of the Service after the effective date means you accept the new Terms. If you don’t accept them, please stop using the Service and delete your account.
15. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Toronto, Ontario have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and you and Neuron each consent to venue and personal jurisdiction in those courts.
Nothing in this section limits any mandatory consumer-protection rights you have in the country where you live, including the right to bring a claim in your local courts where the law requires.
16. Miscellaneous
- If any part of these Terms is found unenforceable, the rest will stay in effect.
- Our failure to enforce a provision isn’t a waiver of our right to enforce it later.
- You can’t assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- These Terms, together with the Privacy Policy and any pricing or plan terms shown at purchase, are the entire agreement between you and Neuron about the Service.
